Standard contractual terms for partner merchants and service providers using the BookingDyno platform.

Purpose of this document

These Partner Terms are intended to serve as BookingDyno's standard public contractual terms for partner businesses. They are incorporated into any Partner Agreement, commercial schedule, onboarding form, or other arrangement that references them. If a signed agreement contains different terms, the signed agreement prevails to the extent of the inconsistency.

1. Parties and scope

These Partner Terms and Conditions (the "Terms") govern the relationship between Naspin Tech Inc., a Philippine corporation operating the BookingDyno platform ("BookingDyno", "Naspin", "we", "us" or "our"), and each business, merchant, venue, accommodation provider, sports facility, rental provider, event venue, or other service provider that lists bookable services on BookingDyno (the "Partner").

The Partner remains an independent business and the seller or service provider of the underlying service booked by a customer. BookingDyno provides the technology, marketplace, booking, payment-facilitation and related support infrastructure.

2. Partner eligibility and onboarding

A Partner must successfully complete BookingDyno's onboarding and verification requirements before listings or payment features may be activated. BookingDyno may request information and documents reasonably necessary to verify the Partner, its ownership, authorized representatives, business activities and settlement account.

  • Provide complete, current and accurate business and contact information.
  • Provide business registration, tax, permit, identity, ownership and authorization documents where applicable.
  • Complete any additional verification required by BookingDyno's payment service provider, including Xendit, before payment or payout functions are enabled.
  • Notify BookingDyno promptly of material changes to ownership, management, business address, bank account, permits, products or services.

3. Listings, pricing and availability

The Partner is responsible for ensuring that every listing is genuine, lawful, accurate and not misleading. The Partner must keep its pricing, service descriptions, schedules, availability, inclusions, restrictions, cancellation rules, photos and other listing information up to date.

BookingDyno may review, request correction of, suspend or remove any listing that is inaccurate, incomplete, misleading, unlawful, prohibited, inconsistent with the Partner's verified business, or reasonably considered harmful to customers or the platform.

4. Customer relationship and merchant of record

Unless otherwise agreed in writing for a specific product, the Partner is the seller and service provider for the underlying booking. The Partner is responsible for delivering the booked service, honoring confirmed bookings, maintaining required permits and licenses, and complying with consumer protection, tax and other laws applicable to its business.

BookingDyno is not the owner, operator or direct provider of the Partner's underlying courts, rooms, accommodations, venues, rentals or other services. BookingDyno remains responsible for its own obligations as platform operator.

5. Booking and payment flow

Customers may create bookings and, where enabled, make payment through payment methods made available on BookingDyno. Payment processing is performed through approved payment service providers, including Xendit where applicable.

Where the XenPlatform or equivalent marketplace structure is enabled, the Partner may be onboarded as a verified sub-account or merchant. BookingDyno may facilitate allocation of transaction proceeds, platform fees, refunds, reversals, chargebacks and payouts in accordance with the Partner's commercial terms and the payment provider's rules.

6. Fees and settlements

The Partner will pay the platform, booking, subscription, payment, or other fees stated in its signed Partner Agreement, commercial schedule, dashboard, or other written communication accepted by the Partner. Fees may differ by product, category or payment method.

Settlement timing is subject to successful payment, fraud and risk checks, refund and chargeback exposure, payment provider settlement schedules, banking cut-off times and any reserves or holds permitted under these Terms or the applicable payment provider rules.

7. Settlement account controls

Payouts may only be made to a settlement or withdrawal account that has been registered and accepted for the verified Partner. BookingDyno and/or its payment provider may require the account holder name to match the Partner's verified legal name or verified owner name and may require additional proof where a discrepancy exists.

The Partner must not request payment to an unrelated third-party account. Any change to payout details may be subject to additional verification before becoming effective.

8. Cancellations, refunds, disputes and chargebacks

The Partner must publish and follow fair cancellation and refund rules that are consistent with applicable law and the information displayed to customers at the time of booking. BookingDyno may assist customers and Partners in resolving booking issues and may facilitate refunds through the payment provider.

  • The Partner must provide supporting booking and fulfillment records when requested for a complaint, refund, dispute or chargeback.
  • Where a dispute results from the Partner's failure to provide the service, inaccurate listing, unauthorized transaction caused by Partner conduct, or breach of these Terms, the Partner may be responsible for the refund, chargeback, reversal and related costs to the extent permitted by law and the commercial agreement.
  • BookingDyno may temporarily withhold or adjust amounts otherwise payable to the Partner where reasonably necessary to address refunds, disputes, chargebacks, fraud, legal requirements or payment provider instructions.

9. Fraud, prohibited activity and compliance

The Partner must not use BookingDyno for unlawful, fraudulent, deceptive or prohibited activity. The Partner must cooperate with reasonable KYC, fraud, sanctions, AML/CFT, security and risk reviews required by BookingDyno, Xendit or another approved provider.

  • No fictitious, self-dealing or sham bookings intended to move funds rather than purchase a genuine service.
  • No sale or facilitation of prohibited goods or services, including unlawful financial services, controlled substances, weapons, counterfeit goods, illegal gambling, adult sexual services, or other categories prohibited by law or BookingDyno's risk policy.
  • No attempts to bypass payment controls, evade platform fees, manipulate chargebacks or direct customers to use BookingDyno solely for discovery while circumventing agreed booking rules.

10. Customer data and privacy

Each party must process personal data in accordance with applicable data privacy laws, including the Philippine Data Privacy Act of 2012 where applicable. The Partner may use customer information received through BookingDyno only for legitimate purposes connected with the booking, customer service, legal compliance and other purposes permitted by law and the applicable privacy notice.

The Partner must implement reasonable security measures and must promptly notify BookingDyno of any suspected unauthorized access, data breach or misuse involving BookingDyno customer information.

11. Intellectual property and platform use

BookingDyno and Naspin Tech Inc. retain all rights in the BookingDyno platform, software, interfaces, branding, designs and related intellectual property. The Partner retains ownership of its own trademarks, photos, descriptions and materials, but grants BookingDyno a non-exclusive license to display and use such materials for operating, promoting and marketing the Partner's listings and the BookingDyno marketplace.

12. Service standards and partner conduct

The Partner must act professionally, honor confirmed bookings, maintain reasonable customer support, and avoid discriminatory, abusive, deceptive or unsafe conduct. Repeated customer complaints, excessive cancellations, material misrepresentation or poor fulfillment may result in restrictions or suspension.

13. Records, audit and cooperation

The Partner must maintain records reasonably necessary to demonstrate booking fulfillment, refunds, customer communications, permits, business ownership and compliance. BookingDyno may request relevant records where necessary for due diligence, payment-provider requirements, investigations, audits, disputes or regulatory requests.

14. Suspension and termination

BookingDyno may suspend a listing, payment capability, payout or Partner account where reasonably necessary to investigate fraud, a legal or regulatory concern, a material breach, inaccurate verification information, excessive disputes, customer safety risk, prohibited activity or a payment provider instruction.

Either party may terminate the commercial relationship in accordance with the applicable Partner Agreement. Obligations relating to outstanding bookings, refunds, chargebacks, confidentiality, data protection, intellectual property, indemnities and amounts due survive termination where applicable.

15. Liability and indemnity

Each party is responsible for its own acts and omissions. To the extent permitted by law, the Partner is responsible for claims arising from the Partner's underlying services, listings, fulfillment, personnel, premises, permits, taxes, customer injuries, infringement or breach of law or these Terms. Nothing in these Terms excludes liability that cannot lawfully be excluded.

16. Changes to these Terms

BookingDyno may update these Terms to reflect changes in law, products, payment-provider requirements, platform functionality or risk controls. Material changes will be communicated through the website, dashboard, email or other reasonable channel. Continued use after the effective date of an update constitutes acceptance where permitted by law and the applicable commercial agreement.

17. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines. The parties will first attempt in good faith to resolve disputes through direct business discussions. If a dispute cannot be resolved, it will be handled in accordance with the dispute-resolution provisions of the applicable signed Partner Agreement or, if none are stated, by the courts of competent jurisdiction in the Philippines.

18. Contact and document availability

The current version of these Terms is intended to be published on BookingDyno's website. Partners may request a copy through their BookingDyno business contact or support channel.

Due diligence reference

For due diligence purposes, these Terms describe the standard contractual framework between Naspin Tech Inc. / BookingDyno and partner merchants. Partner-specific commercial terms such as fees, settlement arrangements or promotional conditions may be documented separately in a signed Partner Agreement or commercial schedule.
